The following are the terms and conditions of use (the ‘Terms of Use’) of the website located at www.ufcgym.com (the ‘Website’). The Website is the property of U Gym, LLC d/b/a UFC Gym® (‘UFC Gym’). By accessing, browsing and/or otherwise using the Website you acknowledge that you have read, understood, and agree, to be bound by these Terms of Use. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE WEBSITE.
Please note the arbitration provision set forth below, requiring you to arbitrate any claims you may have against UFC Gym on an individual basis. Arbitration on an individual basis means that you will not have, and you waive, the right for a judge or jury to decide your claims, if any, and that you may not proceed in a class, consolidated, or representative capacity.
Privacy
By agreeing to this agreement, you also consent to the privacy practices set forth in our Privacy Policy, which may be modified as set out in the Privacy Policy. The terms and conditions of our Privacy Policy are incorporated herein and made a part of these Terms of Use. To the extent you are covered by laws requiring your consent for data transfer to the United States, you agree that your data may be transferred to the United States and collected and used accordance with our Privacy Policy.
Copyright Notice
The content and information displayed on this Website is the property of UFC Gym. The downloading, reproduction, or retransmission of this information, other than for non-commercial individual use, is strictly prohibited. No right, title or interest in any downloaded materials is transferred to you as a result of any such downloading. UFC Gym reserves complete title and full intellectual property rights in any content you downloaded from the Website.
Services
UFC Gym offers various online services, programs and information (‘Website Services’) through the Website. You understand and agree that the Website Services are provided on an ‘AS-IS’ and ‘AS AVAILABLE’ basis and that UFC Gym assumes no responsibility for, among other things, any service outages or interruptions, the unavailability of particular features or services, or the inability to access all or part of the Website Services. UFC Gym reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. All other marks referenced herein may be the property of Zuffa, LLC or other respective owners.
Access from Outside the U.S.
This Website is controlled and operated by UFC Gym from its offices within the United States. UFC Gym makes no representation that materials in the Website are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Violation of Terms of Use; Idemnity

You agree to indemnify and hold UFC Gym, its officers, members, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates harmless from any demands, loss, liability, claims or expenses, including attorneys’ fees, made by any third party due to or arising out of your use of the Website.

UFC Gym respects the intellectual property of others, and we ask our users to do the same. Children

Modification
UFC Gym may amend the Terms of Use at any time by posting the amended terms on the Website. All amendments shall be effective upon posting. Your use of the Website Services following the effective date of any modifications shall constitute your acceptance of those modifications. These terms of use were last modified November 1, 2017.
Dispute Resolution; Governing Law; Jurisdiction
By using the Website, you and UFC Gym agree that, if there is any controversy, claim, action, or dispute arising out of or related to your use of the Websites, or the breach, enforcement, interpretation, or validity of these Terms of Use or any part of it (“Dispute”), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party 30 days in which to respond to or settle the Dispute. Both you and UFC Gym agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. You agree that all matters related to your access to or use of the Website, including all disputes, will be governed by the laws of the State of California, USA. The rights and liabilities of the parties shall be determined in accordance with the law of the State of California, without regard to its principles of conflicts of laws. You agree that any claim or cause of action arising out of or related to use of the Website Services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Severability
If any one or more of the provisions of these Terms of Use shall be for any reason whatsoever held invalid, then such provisions shall be deemed severable from the remaining provisions and shall in no way affect the validity or enforceability of the other provisions of these Terms of Use.

These Terms of Use constitute the entire agreement between you and UFC Gym with regard to your use of the Website, and any and all other written or oral agreements or understandings previously existing between you and UFC Gym with respect to such use are hereby superseded and cancelled. 第一章 総則
第1節 UFC GYM JAPAN及びメンバーシップ
1.1 本クラブは、UFC GYM JAPAN(「UFC GYM JAPAN」)と称し、株式会社Better-U又はその事業を承継する者が運営・管理します。
1.2 UFC GYM JAPANの施設・設備の利用及びサービスは、会員（「メンバーシップ」）制により提供されます。
1.3 メンバーシップの種類と内容は、店舗毎にUFC GYM JAPANが定めるものとします。UFC GYM JAPANは提供するメンバーシップの種類と内容を、既存の会員に特に不利とならない範囲でその裁量判断により随時変更することがあります。
1.4 加入者は、UFC GYM JAPANに加入を認められることにより、加入日以降会員となり、メンバーシップ、もしくは無料体験の資格を取得するものとし、UFC GYM JAPANの施設・設備の利用及びサービスを受けるものとする。
1.5 業務の委託
UFC GYM JAPANはその運営・管理する施設・設備及びサービスの全部または一部をUFC GYM JAPANが適切と認める業者に委託することがあります。
第2節 契約期間
2.1 契約期間
会員の契約期間は、所定の加入日/利用開始日から本会則に基づき会員が退会する所定の手続きを完了するまでとします。
第3節 会員資格等
3.1 会員の条件等
本クラブはその自由な裁量により入会申込みを承認またはお断りすることができ、その理由を示す必要はないものとします。UFC GYM JAPANの会員資格の条件は、下記のとおりとします。
(1) 本会則及び関連のルール・規則を遵守することのできる者
(2) 医師等に運動を禁じられていない者、UFC GYM JAPANの諸施設・設備及びサービスの利用に支障がないと申告された方(健康状態に疑義のある方は別途ご相談下さい)
(3) 過去にUFC GYM JAPAN又は他の同様の施設を退会していない者又は支払金の未納、規則の違反等があり、UFC GYM JAPANが不適当と認めていない者
(4) 反社会勢力又は反社会勢力と関係を有しない者
3.2 会員の健康状態に関する表明保証
エクササイズをすることは、健康、安全、快適性その他身体的条件に悪影響をもたらす可能性があります。会員は、身体的に良好な状態にあり、エクササイズをすることが適切でないような疾病、損傷、衰弱その他の条件がないことを表明するものとします。
会員は、すべてのエクササイズ、設備や施設の利用及びエクササイズの指示を、自己の判断と責任において受け入れるものとします。サービス、設備又は施設の状態及びこれらに関するUFC GYM JAPANの過失に関して、UFC GYM JAPAN及びすべての従業員は第６節に規定するものを超える責任を負わないものとします。
3.3 未成年
加入者が未成年（3歳から17歳。改正法施行の際はこれに従う。）のときは、加入者の成人の親権者その他の法定代理人が加入者を代理して契約を締結するとともに、本会則に基づく利用料等の支払いその他の義務の履行について法令の認める範囲内で連帯して責任を持つものとします。
3.4 届出情報の変更等
会員及び支払者は、本会則に基づきその他の届出情報に変更があった場合は、速やかにUFC GYM JAPANに届出るものとします。
会員及び支払者宛の通知は、届出の連絡先に行うことをもって足り、UFC GYM JAPANは不到達等による不利益に責任を負わないものとします。
第4節 利用料等の支払い
4.1 支払金
入会登録料・諸会費・諸料金等の金額（手数料も含む。以下「支払金」という。）・支払時期・支払方法は、UFC GYM JAPANが定めます。尚、本クラブの運営上必要と判断した場合または経済情勢の変動に応じて、支払金を変更することができます。
4.2 支払いの義務
会員(支払者の記載がある場合は支払者も)は、契約期間について、支払金を支払日を期限として支払うものとします。
4.3 支払の方法
会員又は支払者は支払金の支払いをクレジット・カードによる支払いで行うものとします。
上記の方法による課金が取扱機関により口座相違、資金不足その他いかなる理由にせよ拒否されたときは、速やかにUFC GYM JAPANの指示に従って指定された口座宛て振込送金等による支払いを行うほか、支払い方法に関する新しい情報を提供し、必要な所定の手続きをとります。
4.4 支払金の返還
本会則に明示の規定がある場合又は法令に基づき返還すべき場合でない限り、UFC GYM JAPANに支払われた支払金は返還しません。なお、UFC GYM JAPANの施設又はサービスを利用しなかったとしても、会員が本会則に基づく支払義務の減額又は免除の理由となりません。
4.5 支払い義務の不履行
支払日までに本会則に基づく支払いがされない場合は、不履行が発生したものとし、支払金を遅延している会員は、郵便、電話、Eメール等による回収行動の対象となります。
支払いが3ヶ月遅延した場合、UFC GYM JAPANは、会員のメンバーシップを停止又は解約でき、また回収の事案とすることができます。
第5節 規則等の遵守
5.1 規則等
UFC GYM JAPANは、その施設・設備の運営・管理及び利用及びサービスの提供に関して、本会則その他の利用規約を含むルール及び規則（以下「規則等」といいます。）を定めることができます。会員はこれらのすべてに従うものとします。
5.2 規則等の掲示及び施設運営・規則等の変更
UFC GYM JAPANは、規則等をウェブサイトに掲示する等により会員に開示します。
UFC GYM JAPANはその裁量により、施設・設備の運営・管理、及び規則等の全部または一部について、随時追加・変更・停止又は中止することがあり、合理的な範囲での追加費用の適用、スケジュールの変更、中止がありえます。
会員は、施設内の掲示及びUFC GYMウェブサイトを随時チェックして、規則等の変更について内容を理解することとします。
5.3 規則等の違反
規則等の違反は、UFC GYM JAPANの裁量による判断により、UFC GYM JAPANの所在する場所からの立退き及びメンバーシップの停止又は解約を招くことがあります。
なお、会員は不注意により設備及び施設又は会員以外の者に損失を生じたときは賠償の責任を負うものとします。
第6節 責任の免除；危険の引受け
6.1 危険の引受け及び責任の免除
UFC GYM JAPANが所有管理する施設及びサービスの利用は、それを引き起こすものが誰であるかにかかわらず、傷害等を受けるリスクを含むものです。リスクの度合いは活動によって異なり、リスクの程度も軽度の傷害から重度のもの、例えば死亡を含む重大な傷害まであり得ます。
会員は、UFC GYM JAPANが提供する活動に会員が参加することにより発生しうるリスクを理解し、参加するにあたり、リスクを自己の責任において受入れるものとし、法令により異なる定めが適用されない限り、免責対象者に対し、エクササイズに関連するものであるかどうかにかかわらず、会員がUFC GYM JAPANを利用したことに関連して会員、配偶者、胎児、親戚、その他の関係者が被った傷害（個人、身体、精神に対する傷害を含みそれに限定されない）、経済的損害、その他の損害に関する責任を免除するものとします。
「免責対象者」とは、株式会社Better U及びそれらの関連会社並びにそれらのオーナー、オフィサー、ディレクター、従業員、ボランティア、エージェント、及び独立の契約先をいいます。
ただし、免責対象者（若しくは免責対象者のために行動する者）に重過失又は故意がある場合はこの限りでないものとします。
また、免責対象者（若しくは免責対象者のために行動する者）に過失があると認められる場合は、それによって生じたと認められる損害につき、当該会員が当該事案の発生前の1年間にUFC GYM JAPANに支払った利用料等の総額を上限として、UFC GYM JAPANが責任を負うものとします。
会員はさらに、上記によって免責対象者が責任を負わない場合に会員又はその同伴する若しくは世話をする未成年者が提起する訴訟その他の請求について、その責任、損害、および費用（弁護士費用を含む防御費用その他請求に関連する費用）に関し、免責対象者に損害を生じさせないこととし、免責対象者を防御し及び補償するものとします。
ただし、上記のような会員が免責対象者に損害を生じさせず防御し補償する義務は、会員が負うことになる責任を生じる行為又は不作為に関して免責対象者に重過失又は故意があると、適切な管轄権を有する裁判所又は仲裁人が判断した場合には免除されるものとします。
また会員は、UFC GYM JAPANが提供するのはサービスであって、フィットネスその他の設備を製造する者ではなく、それらを購入又はリースする者であることを理解し認識します。
会員はさらに、免責対象者とUFC GYM JAPANは、サービスを提供しているのであって、欠陥のある設備に対する責任を負えないことがあることを理解し認識します。
会員は、上記を読み、UFC GYM JAPANにおける活動の性質を知ったことを認識し同意します。
本規定の免責が、適用ある法令により一部でも無効とみなされた場合も、その他の部分は拘束力を有し、いかなる手続きにおいても免責対象者及びその代理人によって利用されうるものとします。
なお、いかなる場合においても、本免責規定に同意することによって、会員の権利が一定の損害について制限されることはあっても、会員が訴えを提起する権利が放棄されるものではありません。
6.2 物の紛失等
会員は、UFC GYM JAPANの施設の場所に貴重品を持ち込まないことを推奨します。UFC GYM JAPANは内外及び物が金銭、宝石、証券その他会員がロッカー又は保管区域に残したものであるかどうかを問わず、物の紛失・損失・盗難について責任を負いません。
第7節 メンバーシップの解約及び退会
7.1 メンバーシップの解約等
UFC GYM JAPANがその裁量により以下と判断した場合には、いつでもメンバーシップが解約され又は停止されることがあります。
(1) 会員が本会則（規則等を含む）を守らないとき
(2) UFC GYM JAPANまたは他のいずれかの会員の最善の利益に反するような行動を行ったとき
(3) 会員がUFC GYM JAPANに対して、民事訴訟、仲裁、調停を含む法的手続きを開始し、その内容又は態様がUFC GYM JAPANの利害と対立するものとUFC GYM JAPANが判断したとき
(4) UFC GYM JAPANが会員に対して、民事訴訟、仲裁、調停を含む法的手続きを開始したとき
(5) その他UFC GYM JAPANが会員として不適切であると判断したとき
7.2 退会
会員は、UFC GYM JAPANの定めた退会する所定の手続きに基づき、UFC GYM JAPANに当月の15日までに申し出ることにより、当月の末日をもってメンバーシップを解約できます。
7.3 死亡又は障害による解約
死亡又は障害の理由により、会員が契約したサービスをすべて受けることができなくなったときは、当該会員またはその相続人は、死亡または障害の発生以前に提供されたサービスに関するものを除き、サービスに関する会費等の支払い義務を免れ、前払いがあるときは、サービスを受けなかった部分に相当する金額は速やかに返還されます。
なお、本セクションにおいて「障害」とは、会員が身体的に施設を利用することができない状態で、これを医師が真正と認めたものをいいます。
第8節 休会
会員は、UFC GYM JAPANの定めた休会する所定の手続きに基づき、月単位で最短1か月から休会できるものとします。休会届けは、当月の15日までに申し出ることにより翌月初日から休会と扱うものとし、これを超えた場合は翌翌月の初日から休会と扱うものとする。なお、休会を過去に遡及させる事は認められません。休会中の期間に関する月会費は１ヶ月につき税込1,100円とする。

会員は、UFC GYM JAPANの定めた所定の手続きに基づき、メンバーシップを変更出来るものとします。メンバーシップの変更は、当月の15日までに申し出ることにより翌月初日から適用され、これを超えた場合は翌翌月の初日から適用されるものとする。
第10節 解散又は閉鎖
UFC GYM JAPANは、その裁量による判断により、相当な期間の事前告知をもって、UFC GYM JAPANを解散し又は店舗を閉店することができます。
UFC GYM JAPANを解散し又は店舗を閉店するにあたっては、会員が前払いした利用料等の支払金から、解散又は閉店までの期間に相当する利用料等及び合理的な手数料費用等を控除したうえで、残額を会員に返還するほか、法令に従って必要とされるものを超える損害賠償をする必要がありません。
第11節 画像の利用及び連絡等
11.1 画像利用の承諾
会員は、UFC GYM JAPANの施設にいるときは、会員の画像（ライブ又は録画動画を含む）及びその加工物のうちUFC GYM JAPANが適切と判断するものが、UFC GYM JAPANの活動の広告宣伝及び会員への情報提供のためにUFC GYM JAPANのウェブサイト、ソーシャルメディア（フェイスブック、インスタグラム、ユーチューブ等）、ビデオ、コマーシャル、ウェビナー、その他の公開物に、その媒体を問わず利用及び展示されうることを理解し認識するものとし、会員はこれらの画像の利用に承諾したものとします。
会員は、UFC GYM JAPANの利用または展示が不適切であると考えるときは、UFC GYM JAPANに申し出ることができます。UFC GYM JAPANは当該画像を個人情報保護に関する適用法令に従って適正に取扱うこととします。
11.2 連絡の同意
会員は、UFC GYM JAPAN又はUFC GYM JAPANがその業務を委託した業者が電話、Eメール、SMS（ショート・メッセージ・サービス）などにより会員に、会員のアカウントに関する事項（支払い遅延額の回収を含む）の連絡を本契約書に記載された電話番号及びEメールアドレスに行うことを明示的に書面で承諾するものとします。
また、UFC GYM JAPANのプライバシー・ポリシーにより、会員はUFC GYM JAPAN, そのフランチャイズを受けた者、及びUFC GYM JAPANの 関連会社(プライバシーポリシーにその範囲を記載します。)からその事業の広告宣伝及び提供されるサービスの紹介のために宣伝その他の情報を受取ることを明示的に同意したものとし、会員の情報がこれらの目的に利用されることを理解し同意します。
会員はUFC GYM JAPANから又はUFG GYM JAPANのために、記載された電話番号にメッセージを受けることに同意します。会員は、これらの情報提供等がすべての通信業者で得られるわけではないこと及びテキストメッセージについて、UFC GYM JAPANは会員に課金しないものの、メッセージとデータの料金が課されることがあることを了解します。会員の同意は必須ではなく加入や購入の条件ではありませんが、会員の下記の署名は本規定の同意を構成することを理解するものとします。
会員は、要請のないテキストメッセージをUFC GYM JAPANから受け取ることをいつでも拒否することができるものとし、会員は拒否の選択ができることを確認したうえでテキストメッセージの受信に同意したものとします。
第12節 準拠法及び紛争解決
本会則は、日本法に準拠します。
本会則に関連して会員とUFC GYM JAPAN又はUFC GYM JAPANの日本における関連会社及びそれらのオーナー、オフィサー、ディレクター、従業員、ボランティア、エージェント、及び独立の契約先との間に生ずる一切の請求その他の紛争の裁判管轄は、東京地方裁判所の専属管轄とします。
第二章 施設利用
第13節 諸規則の厳守
会員は、本クラブの施設利用に際して、本会則およびUFC GYM JAPANが別途定める規則等を遵守しなければなりません。
第14節 健康管理
会員は、各自の責任において健康管理を行うものとします。
第15節 入場禁止・退場
会社は、会員が下記の各項に該当する場合は、その会員を本クラブへの入場禁止及び退場を命じることができます。
(1) 伝染病等に罹患しているとき
(2) 健康状態を害しており、運動することが好ましくないと判断されるとき
(3) 許可なく館内を撮影、また録音すること
(4) 許可なく本クラブにおいて物品の売買やパーソナルトレーニング等の営業行為や勧誘をすること
(5) 他人を誹謗中傷すること(SNS等インターネット等の書き込み含む)
(6) 他人に対する暴力行為や威嚇行為
(7) 痴漢、覗き、露出等公序良俗に反する行為
(8) 施設内に落書きや造作をすること
(9) 動物を館内に持ち込むこと（盲導犬は除外する）
(10) 危険物を館内に持ち込むこと
(11) 酒気をおびての来館もしくは館内での飲酒・喫煙
(12) 会社従業員の業務を妨げる行為
(13) 他人へのストーカー行為
(14) 他人の施設利用を妨げる行為
(15) 入館に際し虚偽の申告をした場合
(16) その他本状各号に準じる行為
第16節 休業
本クラブは、会社が別途定める定期の休業日を設けるほか、施設整備、その他やむえない事由が発生した場合、臨時休業することがあります。 臨時休業する場合は、事前にその旨を施設内に掲示します。
第17節 営業時間
メンバーは通常、UFC GYM JAPANの定めた所定の営業時間内に本クラブを利用できるものとします。
第18節 利用可能度の制限
特にピーク時間帯など、場合によっては、フィットネス設備の利用に待ち時間が生じたり、必ずしも希望するエクササイズ・クラスに出席できないことがあります。クラスや設備が利用可能かどうかは、希望人数により予約優先の先着順となります。
第19節 ロッカーキー
会員はロッカーキーを紛失した場合、その旨を直ちに当クラブに告げ、ロッカーキーの実費として、2200円 (税込)をUFC GYM JAPANに支払うものとします。
